1. Agreement to These Terms
These Terms of Service form an agreement between you and Bht Technologie Na Inc. They apply when you use this website, when you send a message to the counter, and when you engage us for computer systems design and related services. By using the website or by engaging our services, you accept these terms. If you do not accept them, please do not use the website and do not engage the services.
If you are accepting these terms on behalf of an organisation, you confirm that you have authority to bind that organisation. In that case, the words you and your refer to the organisation as well as to the individual accepting the terms. If you do not have that authority, you should not accept on behalf of the organisation.
These terms work alongside any signed integrator agreement. Where a signed agreement sets out a different arrangement for a particular engagement, the signed agreement takes priority for that engagement. These terms fill the gaps and govern the general relationship between you and the counter.
2. Definitions
In these terms, we and us refer to Bht Technologie Na Inc., a company with its counter at 1086 Rue Des Forges, Terrebonne - J6Y 0P6, Canada (CA). You refers to the person or organisation using the website or engaging the services. The website means the pages published at bergerinternational.mom.
The services means the computer systems design work and the partnership services we provide, including integrator agreement support, pilot scope planning, support roster coordination, license renewal batching, site survey booking and escalation review. A partner means an integrator or other organisation with which we hold a technology partnership. A client means the organisation on whose premises or behalf the services are delivered.
A desk means the partnership record we open for an integrator or client. A roster means the published schedule of support responsibilities. A renewal batch means a planned group of license and entitlement renewals. A review means an escalation review opened to resolve a live issue.
3. The Services We Provide
Bht Technologie Na Inc. provides computer integrated systems design and related professional and technical services. Our work typically sits within a larger environment of connected systems, and our role is to plan, coordinate and support the integration of those systems in a way that respects the needs of the people who rely on them.
The services we describe on this website are organised into six standing lines: integrator agreement desks, pilot scope planning, support roster cycles, license renewal batches, site survey bookings and escalation reviews. The description of each line on the website is an outline and not a guarantee of a specific outcome. The precise work for any engagement is defined in the scope that we agree with you in writing.
We may decline an engagement where we believe that the work cannot be delivered safely, where a conflict of interest exists, or where the request falls outside the services we are able to provide. If we decline, we will explain the reason as fully as we reasonably can.
4. Use of This Website
You may use this website for lawful purposes and in a way that does not interfere with the experience of other visitors. You must not attempt to gain unauthorised access to any part of the site, to its hosting environment or to any systems connected to it. You must not introduce malicious code, run automated scraping that places a burden on the site, or use the site to distribute unlawful material.
The information on this website is provided for general understanding. It does not constitute technical advice for a specific environment. Every integration has its own constraints, and you should not act on a general description in place of a scoped engagement with us.
If you discover a security weakness in the website, please report it to partners@bergerinternational.mom rather than exploiting it. We appreciate responsible reports and will investigate them promptly.
5. Opening a Partnership
A partnership usually begins with a conversation at the counter. We ask a series of questions about the systems you need to bring together, the partner crews you already trust and the stage your work has reached. On the basis of that conversation we may open an integrator agreement desk for the relationship.
Opening a desk does not itself create a binding commitment to deliver a particular scope. It records the terms, contacts and interfaces that both parties have accepted. The commitment to deliver arises when a scope is agreed in writing, and the delivery then follows the plan set out in that scope.
We expect every partner to deal with us in good faith, to provide accurate information about the systems involved and to keep the named contacts on the desk current. Accurate information at the start saves substantial work later.
6. Scoping and Pilot Work
Before a full deployment we may propose a pilot. A pilot scope defines the rooms, devices, users and measures that the trial will cover, and it records what success will mean. The pilot proceeds within the written edges of that scope. Anything outside the scope requires a separate agreement before it is added.
A pilot is a test, and it may show that an integration should be adjusted or should not proceed in its current form. We will report the findings honestly, including findings that are inconvenient. You agree to review the findings with us before deciding on the next step, because the value of a pilot lies in the evidence it produces.
Unless a contract states otherwise, the documents produced during scoping and pilot work belong to the party that paid for them, subject to our right to keep a copy for our records and to reuse general know how that does not contain your confidential information.
7. Support and Escalation
Support is delivered through rosters that name the crew, the site and the hours for which each party is responsible. A roster is published to you in a readable form. The published roster describes the ordinary support arrangement; it does not promise instant resolution of every issue.
If a problem resists an ordinary fix, an escalation review may be opened. A review gathers the timeline, the parties and the evidence, names the owner of the next step and sets a date to confirm that the step happened. You agree to provide the information that a review reasonably requires and to attend the review with the people who can make decisions.
Support outside the published hours is arranged separately and is set out in the relevant roster or contract. We will not assume an out of hours obligation unless it has been agreed in writing.
8. Client Responsibilities
You agree to provide safe and timely access to the premises where work is to be carried out, to make the relevant people available for meetings and surveys, and to give us accurate information about the systems and conditions that affect the work. Where an access restriction or safety requirement applies, you will tell us before a crew attends.
- Nominate a site contact who can make decisions during a visit.
- Provide current drawings or records where they exist.
- Warn us of hazards, restricted areas or sensitive equipment.
- Keep the named contacts on the desk up to date.
- Respond promptly to a scope or a review request.
- Pay agreed fees within the period set out in the relevant contract.
If a delay is caused by a failure to meet these responsibilities, we may adjust the schedule and, where reasonable, the fee to reflect the added work.
9. Fees and Payment
Our fees are set out in the scope or contract for each engagement. Unless a contract states otherwise, fees are payable within thirty days of the date of an invoice. Fees for pilot work, survey visits and license renewal batches may be invoiced at the points set out in the scope.
Invoices that remain unpaid after the due date may attract interest at a reasonable rate permitted by law. We will normally remind you before applying interest, because a late payment is often an administrative matter rather than a dispute. If a genuine dispute exists, please raise it promptly so that we can resolve it without disturbing the rest of the partnership.
Fees do not include taxes unless the invoice states otherwise. Third party costs, such as licenses, travel or equipment purchased on your behalf, are charged in addition to our fees and are set out clearly on the invoice.
10. Intellectual Property
The text, layout and design of this website belong to Bht Technologie Na Inc. and are protected by intellectual property law. You may read, print and share the pages for your own legitimate purposes, but you may not copy substantial parts of the site for commercial use without our written permission.
In a services engagement, ownership of the documents we produce is set out in the relevant contract. Where a contract is silent, you receive a licence to use the deliverables for the purpose for which they were produced, and we keep ownership of the underlying methods, templates and general know how that we use to produce them.
You must not remove a notice of ownership from a document that we have provided. If you wish to use a deliverable beyond the purpose for which it was produced, please ask us and we will explain what is available.
11. Confidentiality
Each party agrees to keep the confidential information of the other party in confidence. Confidential information includes technical details, business plans, contact lists and any information that is clearly marked as confidential or that a reasonable person would understand to be confidential. It does not include information that is already public, that a party already knew without a duty of confidence, or that a party is required by law to disclose.
We share confidential information only with the people who need it to deliver the services. A partner crew that attends a site on our behalf is bound by the same duty. If we are required to disclose confidential information by law, we will give the other party as much notice as the law allows.
The duty of confidentiality continues after an engagement ends. It lasts for as long as the information remains confidential and, where a contract sets a longer period, for that longer period.
12. Third Party Systems
Integrated environments usually include systems and services that are owned by third parties, such as device platforms, management tools and license portals. We do not control those systems, and their own terms and privacy notices apply. We will explain how a third party system fits into the design, but we cannot accept responsibility for a change that the third party makes to its own service.
Where a third party system is essential to an integration, the customer is responsible for holding the necessary licenses and for meeting the terms of those licenses. We can help to gather the licenses and to batch renewals, but the entitlement itself remains with the customer unless a contract states otherwise.
Links to third party sites are provided for convenience. We do not endorse a third party merely because we link to it, and we are not responsible for its content or its practices.
13. Website Availability
We aim to keep this website available and accurate, but we do not promise uninterrupted access. Maintenance, hosting changes or events beyond our control may interrupt the site. Where a planned interruption is significant, we will try to give advance notice on the relevant page.
The website is provided on an as available basis. We may change, suspend or withdraw a page at any time. If a page is withdrawn, we will try to redirect visitors to the most relevant remaining page, but we do not guarantee that a specific address will remain reachable.
14. Warranties and Disclaimers
We provide the services with reasonable skill and care. We do not warrant that the services will meet every expectation that you may have, because expectations are sometimes formed without the benefit of a scoped discussion. The scope we agree in writing is the measure of what we have undertaken to deliver.
To the extent permitted by law, all other warranties, conditions and representations are excluded. In particular, we do not warrant that a third party system will remain compatible with an integration, because that is a matter for the third party that controls the system.
Nothing in these terms excludes or limits a warranty that the law does not allow to be excluded or limited. If a legal rule in your jurisdiction grants you a right that cannot be waived, these terms do not remove that right.
15. Limitation of Liability
To the extent permitted by law, Bht Technologie Na Inc. is not liable for indirect or consequential loss, for loss of profit, for loss of business opportunity or for loss of data, however those losses arise and whether they arise in contract, in tort or otherwise. This limitation reflects the nature of professional services and the practical limits of insurance and pricing.
Where liability cannot be excluded, our total liability in connection with an engagement is limited to the fees paid to us for the engagement concerned, or to the amount recoverable under our professional insurance, whichever is higher. If a contract sets a different limit, the contract limit applies.
Nothing in these terms limits our liability for fraud, for death or personal injury caused by our negligence, or for any other liability that the law does not allow to be limited.
16. Indemnity
You agree to indemnify Bht Technologie Na Inc. against claims, losses and reasonable costs that arise from your breach of these terms, from a misrepresentation that you make to us about a site or a system, or from your failure to hold the licenses required for a third party system that forms part of an integration. This indemnity is limited to the extent of the loss caused by your conduct.
We agree to indemnify you against claims that arise from our own breach of these terms or from our infringement of a third party intellectual property right in the course of providing the services, subject to the limits set out in these terms.
A party that is informed of a claim must be given a reasonable opportunity to take part in the response, and the other party must not settle a claim in a way that admits fault on the first party part without that party consent.
17. Termination
Either party may end an engagement by giving written notice in accordance with the relevant contract. If no notice period is set, a reasonable period is required so that work in progress can be brought to a safe stopping point and records can be handed over.
We may suspend or end a partnership immediately where a serious breach occurs, where fees remain unpaid after a reminder, where a safety concern makes continued work unsafe, or where continuing would require us to act unlawfully. Where practical, we will explain the reason and set out what is needed to put matters right.
On termination, fees for work already performed become payable, licenses and records are handed over in accordance with the contract, and each party continues to respect the confidentiality of the other party information.
18. Privacy
Our handling of personal information is described in the Privacy Policy, which forms part of these terms. The policy explains what information we collect, why we collect it and the rights available to you. It is important to read the policy alongside these terms, because the two documents are intended to be read together.
Where an engagement requires the transfer of personal information between the parties, the contract should state the purpose and the safeguards. We will not use personal information received from a client for a purpose that the client has not authorised.
If you have a privacy question that is not answered by the policy, please contact the counter and we will direct the question to the person who can answer it.
19. Changes to These Terms
We may update these terms from time to time. The current version will always be available on this page, and the date of the most recent change is shown at the close of the document. Where a change is material, we will take reasonable steps to bring it to the attention of people who are likely to be affected.
A change does not alter the terms of an engagement that has already been agreed in writing, unless the contract itself allows the change and it is made in the manner that the contract sets out. This keeps an existing partnership stable while allowing the general website terms to develop.
Continuing to use the website or to engage the services after an update means that the current terms apply.
20. Governing Law
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply there. The courts of Quebec have jurisdiction over a dispute that arises from these terms, unless a contract sets a different forum.
Before starting a formal proceeding, the parties agree to attempt to resolve a dispute through a direct discussion at the counter. Many disputes turn on a misunderstanding that a short conversation can clear up, and a discussion is usually faster and less costly than a filing.
If a provision of these terms is found to be invalid, the remaining provisions continue in effect. The invalid provision is to be read down to the extent necessary to make it enforceable, and the parties will replace it with a valid provision that reflects the original intent as closely as possible.
21. Contact
Questions about these terms can be sent to the counter. We will make sure that the message reaches the person who can answer it.
